Project terms built to protect the work.

These disclosures explain the responsibilities, payment terms, cancellation rules, ownership standards, service limitations, and project conditions that apply when working with Miro & Company Inc.

1. Agreement to These Terms

By requesting services, approving a proposal, submitting payment, paying an invoice, scheduling work, providing project materials, or continuing with a project, the client acknowledges and agrees to these Disclosures & Agreements, unless a separate signed written agreement states otherwise.

These terms apply to consulting, strategy, design, website, ecommerce, SEO, AIO, Google Business Profile, creative production, 3D visualization, LMS/CMS implementation, product design, mobile interface, development, workflow, and digital platform services provided by Miro & Company Inc.

2. Client Responsibilities

The client is responsible for providing accurate, complete, timely, and legally usable information so Miro & Company Inc. can perform the requested services.

  • Provide accurate business, service, brand, product, project, and contact information.
  • Provide access to necessary platforms, files, accounts, assets, content, data, and personnel.
  • Review deliverables, provide feedback, and approve decisions within reasonable timeframes.
  • Confirm that client-provided logos, photos, videos, copy, trademarks, files, documents, testimonials, and other materials may legally be used for the project.
  • Maintain secure account credentials and avoid sharing sensitive information unless approved in writing.
  • Comply with applicable laws, industry rules, privacy obligations, platform rules, and professional requirements related to the client’s business.

3. Consultation Fees and Payment Terms

Miro & Company Inc. charges fees for consulting, creative, design, development, strategy, website, platform, SEO, AIO, and implementation services based on the scope, complexity, timeline, and requirements of the project.

  • Fees, payment schedules, deposits, milestones, and final balances will be communicated through a proposal, invoice, agreement, checkout link, or written project communication.
  • Work may not begin until the required deposit, partial payment, or initial payment has been received.
  • Delayed payments may pause strategy, design, development, revisions, launch support, asset delivery, platform access, file transfer, or ongoing service.
  • Final deliverables, ownership rights, launch access, editable files, or completed transfer materials may be withheld until all outstanding balances are paid in full.
  • Payments made by card, ACH, wire, check, Stripe, payment portal, or other processor are subject to the terms and fees of the payment provider.

4. Cancellation, Refund, and Rescheduling Policy

Project time, strategy time, creative direction, production planning, research, setup, and calendar availability are reserved once a project is approved or payment is submitted.

Cancellation before project start

Cancellation requests must be submitted in writing by email. If a cancellation request is received at least two calendar days before the scheduled project start date and no project work has begun, Miro & Company Inc. may waive cancellation fees at its discretion.

Cancellation close to project start

Cancellations made less than seven calendar days before the scheduled project start date may be subject to a cancellation fee equal to seventy percent of the total consulting or project fee, unless a signed written agreement states otherwise.

Cancellation after work begins

Once strategy, consulting, discovery, creative direction, design, setup, development, research, platform implementation, content work, communication, or any other project service has begun, payments may become non-refundable. The client remains responsible for all fees earned, work performed, time reserved, expenses incurred, third-party costs, and approved project milestones.

No refund after services are rendered

Cancellation requests received after services have been rendered, deliverables have been created, project work has been performed, or project access has been provided are not eligible for refund unless required by law or agreed in a signed written agreement.

  • The client remains responsible for legitimate fees, processor charges, dispute fees, collection costs, attorney fees, and other amounts related to unpaid project balances where permitted by law or agreement.
